LICENCE FOR THE USE OF DOWNLOADABLE DOCUMENTS IN DIGITAL FORMAT

1. The client (beneficiary) declares that he/she is in agreement with all the terms and conditions contained in the present License for the use of the DOCUMENTS in digital format commercialised and supplied on the INASMET Foundation website (henceforth the DOCUMENTS). These terms and conditions are subject to change without prior warning whenever the INASMET Foundation sees fit.

2. The exploitation rights of the DOCUMENTS are the exclusive property of the INASMET Foundation which, through the present contract, concedes a license of use to the beneficiary in accordance with the following stipulations.

3. The INASMET Foundation holds and shall hold at all times its full rights of ownership and title to the DOCUMENTS and confirms that it has the right to grant the license of use dealt with in the present contract.

The beneficiary may not lend, give, transfer, assign, sell or hire the license for use of the DOCUMENTS to third parties. Any attempt to lend, give, transfer, assign, sell or hire a copy of any of the rights and obligations granted herein to third parties will lead to the immediate cancellation of this license contract and contractual good faith will be regarded as having been breached.

The beneficiary is obliged and commits him/herself to taking all necessary measures to ensure that unauthorised third parties do not obtain knowledge or information concerning INASMET Foundation documents.

The beneficiary shall maintain all references to ownership contained in INASMET Foundation documents (marks, copyright symbols, etc.) that identify the ownership of the rights by the INASMET Foundation in good condition.

The beneficiary shall maintain the symbols, marks and any other reference to ownership that the INASMET Foundation establishes in its products, in all complete or partial reproductions that have been expressly authorise by the INASMET Foundation by virtue of this contract.

The beneficiary shall inform the INASMET Foundation of any act of unfair competition or violation of the industrial and intellectual property rights of which he/she becomes aware and shall, in general terms, adopt all necessary measures to ensure the confidentiality of and respect for the property rights corresponding to the INASMET Foundation.

4. The license of use for the DOCUMENTS is granted for a single user and a single workstation. The beneficiary may not use them on a computer network, simultaneous access system, multiple central processing unit or multi-user system, unless this has been agreed in writing by the INASMET Foundation.

In the case of incorrect operation of your computer, which prevents access to or use of the DOCUMENTS, you may transfer them to another computer, as long as they are deleted from the computer from which they have been transferred and the use of the DOCUMENTS on the new computer complies with the terms of this agreement.

5. The INASMET Foundation authorises printing of the contents of the DOCUMENTS and the transfer of extracts from the same to other applications, as long as the beneficiary complies with the following conditions:

a. The beneficiary may reproduce directly from the DOCUMENTS, for internal use, part or all of their content, subject to the intellectual property rights contained in the same. This option will be effective as long as said copies are dated and destroyed within thirty days of having been copied, except for the condition described in Clause 5.b) below. Said copies may not be filed to form part of a reference collection printed on paper.

b. Extracts from the DOCUMENTS may not be transferred to other applications, but may be incorporated into documents for internal use of the beneficiary, as long as the text extract does not exceed 10% of each of the DOCUMENTS. The INASMET Foundation retains the copyright of said extracts, whose ownership shall be clearly stated.

c. The beneficiary is under no circumstances authorised to reproduce, either totally or partially, any of the DOCUMENTS for any other use than those specified in Clauses a) and b) above.

d. The beneficiary may under no circumstances lend, hire, sell or distribute copies extracted from the DOCUMENTS.

6. Confidentiality. Knowledge of any information contained in the DOCUMENTS shall be regarded as both confidential and a trade secret. The beneficiary agrees to respect and act in accordance with this confidentiality agreement. Information in the public domain is excluded from this agreement.

7. The INASMET Foundation not provide any express or implicit guarantee that the DOCUMENTS are apt for any specific purpose, nor that they can carry out any specific function.

The beneficiary shall notify the INASMET Foundation in writing of any defect or error detected within thirty calendar days of receipt of the DOCUMENTS. If the beneficiary does not inform the INASMET Foundation of said circumstance, it shall be understood that the beneficiary has found said DOCUMENTS to be to their complete satisfaction.

8. In no circumstances shall the INASMET Foundation be held responsible to the beneficiary for any damage, independently of its causes, that may be arise, either directly or indirectly, in relation to this license. The resulting damage shall include loss of profit, income, use (or similar financial loss), any payment made or owed to third parties, economic loss or any impossibility of the DOCUMENTS to satisfy any specific function.

The responsibility of any type of the INASMET Foundation as regards the beneficiary and relating to provision of the DOCUMENTS shall not exceed the amount corresponding to the licensing rights of the same.

The beneficiary authorises any accredited representative of the INASMET Foundation to visit his/her place of work in order to confirm exact compliance with the terms of this license.

9. The INASMET Foundation shall not be held responsible as regards the beneficiary for any misunderstanding or distortion that may arise in relation to any oral communication made between the parties, independently of its origin.

Any formal communication that either of the parties is obliged to make or communicate to the other party shall be sent by registered mail and the post office receipt will constitute proof of receipt of the same.

10. Expressly renouncing any other jurisdiction that may correspond to them, the contracting parties, as regards everything concerning interpretation of and compliance with the present contract, expressly accept the jurisdiction and competence of the Madrid Law Courts.
